Mutually agreed working guideline:
Content Marketing Service


– Consultation meetings: Upon receipt of 1st payment,Consultant from Reform Marketing will hold a 2 hours meeting with Client to brainstorm the scope of content, discuss the market positioning, customer persona and potential customers’ FAQ to prepare for the digital marketing research. Once the research has been done, the Consultant from Reform Marketing will hold another 1 hour meeting with the Client to present the research result,discuss the proposed website structure and determine the content marketing strategy and plan. Website and Facebook publishing will start form the 2nd month after the digital marketing research.

– Implementation of Content Marketing: Reform Marketing will propose a content implementation plan and provide advice to Client to collect, create, modify and publish the content on Client’s website during contract terms. The maximum number of web pages optimized by Reform Marketing is maximum four (4) pages per month.

– Unless otherwise specified, content marketing including digital market research, content creation consultation and page optimization for SINGLE language.

– Content Creation: Client is assumed the primary responsibility to provide industrial / product specific content in text.Consultant from Reform Marketing will help Client to modify in accordance with the content strategy and SEO rules. To achieve the best result, Client is required to cooperate with our consultant to provide content in line with the content plan set by our consultant in a timely manner.

– Consultant working hours: The working about of consultant of Reform Marketing is 9:30 to 5:30 (Mon – Friday except public holidays). Consultant from Reform Marketing will try his/her best to entertain Client’s inquiry during office hours. If the working hours needs to entertain client’s questions is significantly exceed the estimated total working hours.Reform Marketing may adjust the charge in the next contract terms. 

– Daily operation: Reform Marketing’s consultant will provide advice on the best presentation of Client’s product and service and optimize website pages stipulated in the above Item 1. The service does not include the daily operation of online shop such as product information input, update,stock management, delivery management and so on. For informative website, we does not include answering inquiry and input of service information.

– Product and service information on website: Client is responsible for the update product and service information on the website. The service scope Reform Marketing’s consultant covers

a) provide suggestion Client to enrich text and graphic content

b) modify the text content in accordance with the content marketing rule and strategy

c) fine tune SEO elements to improve the visibility of the content for the search engines

– If Client does not have manpower to update product or service information on the website, Reform Marketing may provide update service with an additional service fee.


Online Business Analytics


– Online business analytics consultation: Reform Marketing shall create tailor-made reports on the dash-board on Client’s Google Analytics account in response to the Client’s most concern key performance indicators (KPIs)

– Reform Marketing shall discuss with Client and set up Goals and Funnels (if applicable) according to the business model of Client.

– Reform Marketing shall explain the report and the analysis of website statistics in the monthly meeting to Client.

– Based on the analysis of the statistics, Reform Marketing shall provide Client suggestion on corrective actions and areas to be improved on the website.


Online Ads Management and Consultation

The services fee DOES NOT include the online ads expenses. Reform Marketing will assist the Client to set up Ads account and connect with Client’s credit card. Online ads expenses will be settled by the Client to Google / Facebook directly.


– Reform will set up Google Ad account to manage Client’s ads.  The ownership of the account belongs to Reform. Ads broadcasting methods, targeting strategies, bidding prices, bidding strategies and conversions settings are the accumulated knowledge and experience of Reform and are intellectual property of Reform which will not be transferred to Client.

– Client shall provide credit card information for the payment of Google Ads. Client may download all the statements and invoices from Reform system.

– The Google Ads account shall NOT be accessed or make to be accessed by third party.

– Adverting result: Client should aware Reform shall strive for optimizing the performance of ads in terms of impressions, cost per click and conversion rate based on measurable conversion action on Client’s website. Client shall be responsible for converting the inquiries of visitors into customers. Client needs to aware that price setting, promotional discount, service/ product mix may affect the successful rate of conversion in a significant way.  Hence, Client needs to train and well prepare the front-line staff’s skill in answering and explaining Clients’services or products to the potential customers.  Reform shall not be held responsible for these factors outside the control of Reform.

– During the course of contract,Reform shall provide monthly advertising result and spending report to Client.  Client needs to keep these reports properly as Reform may not keep these reports upon expiry of contract.

– The advertising creative text and graphic in JEPG format will be provided to Client for approval and can be kept by Client.  Client needs to aware that upon termination of contract, Reform may not keep these creative text and graphics. AI working files of the advertising graphics are the intellectually property of Reform and will not be transferred to Client upon expiry of the contract.


Others

– Client should be responsible for checking the accuracy of the website content and Ads copy specially on the product prices and service terms. The Client should ensure the content and Ads copy comply with the local laws and related industrial regulation of the target market.

– Client should have the infrastructure ready at website for publishing content. These mechanisms include SEO friendly Blog, XML sitemap, Google Analytics tracking code field, Static URL / permalink, Title Tag, Description Tag and Keyword Tag mechanism. In case the Client wish to use Google or Facebook dynamic product ads (DPA), Client should seek professional web site technical support from respective vendors for plug-in sand or add-on function suggested by Reform Marketing. Client understood that ifany of the about mechanism is not in place, it may affect the effectiveness and result of the content marketing.

– Client should seek the assistance of website developer to ensure the security and regular backup of website, hence to ensure the protection of content created on the website. Reform Marketing does not keep any backup of the content.

– Ranking of Website: Client should be aware that,besides other factors, search engines index and rank a website with their own algorithm and that algorithm changes at their own discretion from time to time.Therefore, the ranking of Client’s website is affected and changed from time to time. Reform Marketing does not implicitly or explicitly commit or guarantee the ranking position of Client’s website on any Search Engine Result Page(SERP) in this agreement.

– Upon termination of contract,Client has the obligation to settle the unpaid balance of the Google Ads account.  Google Ads account will be deleted on the subsequent month once the last statement has been issued by Google.

– To the extent permitted by law,in no event shall Reform and Client be liable to each other for any indirect,punitive, or consequential damages, including lost profits or business opportunities. Liability of both parties, if any, will be limited to the total amount of this agreement.


Restriction of Liability:


– Reform Marketing Ltd will not be liable for any loss caused by, including but not limited to, any failure of performance and interruption due to the third parties ad-ministration which are not controlled by us.
– Reform Marketing Ltd shall not be liable for any delay caused by the Client’s failure to provide information/ materials/ confirmation or instruction.
– Client should seek the assistance of website developer to ensure the security and regular backup of website, hence to ensure the protection of content created on the website. Reform may not have the backup of the content. – Ranking of Website: Client should aware that, besides other factors, search engines index a web site with their own algorithm and that algorithm changes at their own discretion. Therefore the ranking of a web site is affected and is changed from time to time. Reform does not warrant the ranking of Client’s website in any Search Engine Result Page (SERP) and does not implicitly or explicitly use this as a metric for measuring the result of the consultation service provided by Reform.


Copyright & Design: 


– Reform Marketing Ltd will not be liable for copyright issues of the content, graph-ic s of the sites and all other elements provided by the client.
– Standard Size: 1200 x 1200, 1200 x 628, 813 x 320
– Number of Edit: 1 times per graphic 
– All elements/photo provided by the client.
– AI File not provided, if client want to buy the AI File
– Reform Marketing may provide with an additional service fee $1000 per file


Delay of Progress:


– All photos and content of the items listed in quotation should be provided by client.
– Invoice issued to Client should be paid within 3 working days. If Reform does not receive payment by the end of the 3rd working day. There is a possibility of affecting the progress of work for Client.
– Reform Marketing Ltd shall not be liable for any delay caused by the Client’s failure to provide information/ materials/ confirmation or instruction.

*The final interpretation right belongs to Reform Marketing Limited.
